These Catena Account Terms (these “Catena Account Terms”) are Additional Terms that supplement, and are governed by, the Catena Labs General Terms of Service (the “General Terms”) between you and Catena Labs, Inc. (“Catena,” “we,” “us,” or “our”). They apply to your access to and use of a Catena Account. The Catena Account is a sub-account within your Catena Organization Account, as that term is defined in the General Terms.
By enabling, accessing, or using a Catena Account, you agree to these Catena Account Terms in addition to the General Terms. In the event of a conflict between these Catena Account Terms and the General Terms, the General Terms prevail, except where a provision of the General Terms expressly states that an Additional Term controls, as described in the General Terms under “Order of precedence.” Capitalized terms not defined here have the meanings given in the General Terms.
1. Catena Accounts
Overview. A Catena Account provides you with access to a non-custodial means to access and control Digital Assets and potentially other related functionality, including the ability to generate cryptographic key pairs, view account information, and initiate and authorize blockchain transactions.
Control of Digital Assets. Each Catena Account has one or more private keys that are generated and stored in a trusted execution environment (“TEE”) and used to execute blockchain transactions (“Private Keys”). Catena Accounts use a shared control model that requires Catena and at least one additional Authorized User to transfer Digital Assets from a Catena Account.
You control: (i) the ability to authorize or withhold authorization for all transfers of Digital Assets from your Catena Accounts; neither Catena nor the TEE provider can unilaterally move, transfer, access, or recover the Digital Assets stored in your Catena Accounts without your authorization; and (ii) the use of Private Key Export as described in Section 5. Beneficial ownership of your Digital Assets remains with you, and you bear all risk of loss with respect to those Digital Assets.
No custody. Catena does not provide custody of Digital Assets. Nothing in a Catena Account should be construed as Catena holding, controlling, or having the ability to transfer your Digital Assets.
2. Agent Authorization and Transaction Policies
Authorizing agents. You may authorize AI agents and other automated systems (which are Authorized Users, as defined in the General Terms) to access one or more of your Catena Accounts and to initiate, authorize, and manage transactions on your behalf, subject to the rules and policies you configure through the Services.
Your responsibility for configuration. You are solely responsible for configuring, reviewing, and maintaining the rules and policies that govern how your agents and automated systems interact with your Catena Accounts, and for ensuring they are appropriate for your needs and compliant with applicable law. You are responsible for all transactions initiated through your Catena Accounts, whether initiated by you, your personnel, your agents, or automated systems, and whether or not authorized by you.
Enforcement not guaranteed. Catena will use commercially reasonable efforts to enforce the rules and policies you configure, but does not guarantee that every rule or policy will be enforced perfectly or at all times. You remain responsible for monitoring activity in your Catena Accounts and for promptly notifying Catena of any issue you identify.
Agent credentials. You are responsible for provisioning and securing any credentials, keys, or authorizations issued to or used by your agents and automated systems, which are treated as Authentication Credentials as defined in the Catena Labs General Terms of Service.
3. Sandbox and Test Environment
Sandbox availability. Catena may make available a separate sandbox or test environment (the “Sandbox”) that allows you and your Authorized Users to explore a Catena Account, create and test workflows, rules, and transaction policies, and evaluate the Services before using them in production. The Sandbox operates on one or more public test networks, including the Ethereum “Sepolia” test network, and does not access production blockchain networks. Catena may make the Sandbox available before you complete the identity verification and onboarding procedures described in the General Terms; those procedures must be completed before you access the production Services.
Test assets only. Digital Assets used in the Sandbox are test tokens and cannot be converted into, redeemed for, or exchanged for any Digital Asset of value or any fiat currency, and cannot be transferred to a production blockchain network. Nothing in the Sandbox involves the transfer, custody, or control of Digital Assets of value. DO NOT use the Sandbox for the transmission of any Digital Asset of value as the value may not be recoverable.
No reliance; provided “as is.” The Sandbox is provided solely for testing and evaluation purposes, on an “as is” and “as available” basis, without warranties of any kind and without any service levels. Sandbox features, configurations, and results are illustrative only, may differ materially from the production Services, and should not be relied upon as an indication of how the production Services will perform. Workflows, rules, and policies you create in the Sandbox may need to be reconfigured before use in production, and Catena does not guarantee that they will transfer to, or function in, the production environment.
Resets and changes. Catena may modify, suspend, limit, reset, or discontinue the Sandbox, in whole or in part, at any time and without notice, and may delete or wipe any data, configurations, workflows, rules, or test assets in the Sandbox at any time. You are responsible for separately retaining any configurations you wish to preserve.
Applicable terms. The Sandbox is part of the Services. Except as otherwise stated in this Section, your access to and use of the Sandbox is subject to these Catena Account Terms and the General Terms, including the acceptable-use, disclaimer of warranties, limitation-of-liability, and indemnification provisions. Test networks are Third-Party Services and public blockchain networks that Catena does not control, as described in the General Terms and in Section 7 (Blockchain Networks).
4. Service Providers
Service Providers. Certain functionality within Catena Accounts, including the non-custodial functionality, is supported by Service Providers, including Turnkey Global, Inc.
Provider terms. As a condition of using functionality supported by a Service Provider, you agree to comply with that Service Provider’s applicable terms of use and privacy policy, as updated from time to time. For Turnkey Global, Inc., those terms are its Terms of Service, available at turnkey.com/legal/terms, and its Privacy Policy, available at turnkey.com/legal/privacy, each of which is incorporated into these Terms by reference. Catena will notify you of material changes of which it becomes aware. You are responsible for reviewing those terms as updated.
Beneficiaries; hold harmless. Catena’s Service Providers (including Turnkey Global, Inc.) are intended third-party beneficiaries of the provisions of these Terms that are for their benefit, including the risk allocations, disclaimers, limitations of liability, and hold-harmless provisions, and may enforce those provisions directly against you. To the fullest extent permitted by applicable law, you agree to hold the Service Providers harmless from, and waive and release them from, any and all liability or responsibility related to the risks described in these Terms, including those related to your and your Authorized Users’ Authentication Credentials, Private Key Export, and any private keys, seed phrases, or access credentials stored outside the Services.
5. Private Key Export
Functionality. The Services may make available optional functionality that allows you and your Authorized Users to export or make a copy of Private Keys generated by the Services for use with another wallet provider (“Private Key Export”).
Sole responsibility. You are solely responsible for determining whether to enable, disable, and use Private Key Export, and for doing so strictly in accordance with the Documentation. Following a Private Key Export, you and your Authorized Users are solely responsible for the security of the exported Private Keys and the Digital Assets they control. Neither Catena nor its Service Providers will secure, or has any responsibility or liability for, any exported Private Keys, and no controls within the Services can be enforced on Private Keys exported outside the Services.
Hold harmless. Prior to allowing any Authorized User to export a Private Key, you will require that Authorized User to hold Catena and its Service Providers harmless from any liability or responsibility related to exported Private Keys. You agree to hold Catena and its Service Providers harmless from any liability or responsibility related to your or your Authorized Users’ use of Private Key Export. This hold-harmless obligation supplements the indemnification obligations in the General Terms.
6. Digital Asset Risk Acknowledgments
You acknowledge and agree, and will require each of your Authorized Users to acknowledge and agree, to the following:
Irreversibility and loss of access. Blockchain transactions are generally irreversible. Loss of control of Authentication Credentials, including a failure to maintain secure backups or recovery mechanisms, will permanently and irreversibly deny you access to the Digital Assets associated with your Private Keys. Neither Catena nor its Service Providers can reverse a transaction or restore lost access.
Incorrect contact information. Use of incorrect or unsecured email addresses or phone numbers in connection with the Services can result in permanent loss of access to Private Keys and any associated Digital Assets.
Private Key Export. The use of Private Key Export functionality carries risk, including the risk that Private Keys, seed phrases, or credentials stored or managed outside the Services may be lost, stolen, or compromised, resulting in permanent and irreversible loss of access to Digital Assets.
Provider availability. If Catena, a Service Provider, or any product or application through which the Services are accessed ceases operations or goes offline, you and your Authorized Users could lose control of and access to the Digital Assets associated with your Private Keys. You are responsible for maintaining the ability to access your Private Keys independently, including through Private Key Export where available.
No deposit insurance. Digital Assets are not subject to the protections or insurance provided by the Federal Deposit Insurance Corporation or the Securities Investor Protection Corporation.
Unsupported networks. Neither Catena nor its Service Providers is liable for any Digital Asset sent to an address on an unsupported blockchain network or of an unsupported asset type.
General digital asset risks. Digital Assets and blockchain technologies involve significant risk, including risks arising from user error, software defects, system failures or downtime, compromised wallets, unauthorized access, phishing, malware, and volatility or total loss of value. The Services remain under ongoing development, which creates technological and other risks, including possible delays in processing transactions.
7. Blockchain Networks
Catena Accounts interact with public blockchain networks that are not controlled by Catena. Catena does not operate or control any blockchain network and is not responsible for the operation, security, or availability of any such network, or for any transaction once it has been broadcast to a blockchain network.
8. Fees for Catena Accounts
Product fees. Any fees for Catena Accounts will be disclosed in the Service. Please review them carefully. Catena will provide notice of any changes to fees previously disclosed to you, which notice may be provided in the Service interface itself.
Network fees. Catena may pass through any blockchain network transaction fees (“gas fees”) incurred through your use of a Catena Account.
9. Additional Representations for Catena Accounts
In addition to the representations in the General Terms, you represent and warrant, on a continuing basis, that you understand the inherent risks associated with cryptographic systems, blockchain-based networks, and the Digital Assets they support, and that you have the technical capability to secure your Authentication Credentials and, where applicable, any exported Private Keys.
10. Termination Effects for Catena Accounts
Because Catena Accounts are non-custodial, upon any termination or discontinuation of a Catena Account you remain responsible for independently securing and maintaining access to your Private Keys and Digital Assets, including, where available and appropriate, through Private Key Export prior to termination. Catena will use commercially reasonable efforts to enable you to transition from your Catena Accounts in an orderly manner where practicable.
The following Sections of these Catena Account Terms, and any other provision that by its nature should survive, will survive termination: Section 1, Section 3, Section 4, Section 5, Section 6, Section 7, and Section 9. This Section supplements, and does not limit, the termination provisions of the General Terms.
By enabling, accessing, or using a Catena Account, you acknowledge that you have read, understood, and agree to be bound by these Catena Account Terms and the General Terms.
